Executive Summary of proposed changes to By-laws

At the Annual General Meeting held April 27, 2025 the membership of the International Eastside Soccer Club (1991) operating as Eastside Memorial Football Club (“EMFC”) voted to adopt a new set up bylaws.

All members are invited to attend the upcoming Special General Meeting, which has been scheduled on Sunday, July 20 at 7:00 pm. 

The meeting will be held at the Eastside Memorial FC Development Centre (# #5, 640 - 28 Street NE)

Background

The version of the by-laws that were approved on April 27 addressed several issues that EMFC has experienced with its governance in the past few years.

When the Club submitted these newly approved bylaws to Corporate Registries, they were returned with three (3) deficiencies identified. 

The Club is required to hold a Special General Meeting to have the items corrected so they will meet the requirements of the Societies Act.   The proposed changes shown below, have been reviewed by Corporate Registries. Registries has confirmed acceptance based on the updates.

Article 12.4  -  A Special Resolution to dissolve EMFC shall only be approved by the majority votes stipulated by the Societies Act of Alberta.

Proposed to replace:

Article 12.4 – A Special Resolution to dissolve EMFC must be approved at a General Meeting or Special Meeting called for this purpose.
